  1. 1. AGREEMENT TO TERMS

    These Terms and Conditions constitute a legally binding agreement made between you (“Client”) and aLaPony LLC (“aLaPony LLC,” “we,” “us,” or “our”), concerning media production, legacy media preservation, aerial visual data collection, and 3D modeling services (“Services”). By engaging aLaPony LLC, you agree that you have read, understood, and agreed to be bound by all these Terms and Conditions.

    2. SERVICES AND PROPOSAL

    aLaPony LLC provides professional video editing, digital media preservation, FAA Part 107 certified drone operations, terrestrial cinematography, and 3D spatial modeling/photogrammetry.

    • Creative & Technical Tools: The workflow tools used may include Adobe Creative Cloud (Premiere Pro, After Effects, Photoshop), 3D photogrammetry platforms (WebODM, RealityScan), and flight control systems.

    • Stock Assets: We provide access to creative asset libraries. You may select licensed audio and media from approved platforms (e.g., Adobe Stock, Musicbed). Licensing tiers or premium track selections may adjust the final proposed fee.

    • Scope of Work: Deliverables, technical specifications, timelines, and fees will be detailed in a separate “Proposal” or Statement of Work. Proposals are valid for fourteen (14) days from the date of issue.

    • Flight & Operations Safety: FAA-certified operations remain subject to federal air regulations, local airspace clearances, and prevailing weather conditions. aLaPony LLC reserves the sole right to reschedule or modify capture sessions to ensure safe, lawful operation.

    • Content Restrictions: We reserve the right to decline or terminate projects involving illegal, hazardous, obscene, or infringing material.

CLIENT-PROVIDED ASSETS & LEGACY MEDIA

The Client warrants that they hold legal ownership, rights, or necessary permissions for all materials (audio, video, photos, physical media) submitted to aLaPony LLC. The Client agrees to indemnify and hold harmless aLaPony LLC against any legal claims arising from the use or processing of these materials.

  • Legacy Media Condition: For digital preservation projects involving physical legacy media (e.g., magnetic tapes, film, slides, prints), the Client acknowledges that aged media carries inherent risks of prior degradation, brittleness, or mechanical failure. aLaPony LLC exercises professional care during digitization but assumes no liability for damage resulting from the pre-existing physical condition or spontaneous failure of vintage media during processing.

4. PAYMENT TERMS AND REFUND POLICY

Due to custom creative workflows, field mobilization, and computing processing costs, all sales are final once project work or field operations commence.

  • Milestone Structure: 1. Deposit (Required prior to scheduling/mobilization); 2. Draft/Review Ingest (Review of draft cut, low-res preview, or raw asset manifest); 3. Finalization; 4. Final Payment (Remaining balance collected prior to delivery of full-resolution/unmarked assets).

  • Completion: Final approval and balance settlement constitute project acceptance.

5. SHIPPING, DELIVERY, AND DATA RETENTION

  • Digital Delivery: Deliverables are provided via cloud download link or shared secure drive. Raw capture data and master project files are retained for thirty (30) days following final delivery, after which uncontracted project archives may be permanently deleted.

  • Physical Media: For physical assets or return hardware, the Client is responsible for inbound transit to our business address. aLaPony LLC covers standard return shipping for legacy media assets. aLaPony LLC is not liable for loss or transit delays caused by third-party delivery services.

INTELLECTUAL PROPERTY RIGHTS

Upon receipt of final payment in full, aLaPony LLC transfers license/usage rights for the agreed final deliverables to the Client. aLaPony LLC retains ownership of all raw project files, project templates, presets, and unedited master capture data. aLaPony LLC reserves the right to include excerpts of non-confidential deliverables and production materials in its portfolio and marketing materials unless expressly waived in writing.

7. PROJECT PAUSE AND REACTIVATION

Timely asset provision and review feedback are required to maintain production schedules. If the Client does not respond or provide requested assets within seven (7) calendar days, the project will be placed on "On Hold" status. A $110 reactivation fee may be assessed to adjust scheduling and resume work.

8. GOVERNING LAW AND DISPUTES

These Terms and Conditions are governed by the laws of the State of Ohio. Any legal actions or disputes shall be filed and resolved exclusively in the state or federal courts located in Lorain County, Ohio.

9. LIMITATIONS OF LIABILITY

Services are provided on an "as-is" and "as-available" basis. In no event shall aLaPony LLC, its officers, or agents be liable for incidental, indirect, or consequential damages, including loss of data, hardware failure, or business interruption. Total liability under any claim shall not exceed the total fees paid by the Client for the specific engagement.
